A Council seat shall become vacant whenever any member is recalled, dies, becomes incapacitated, resigns or ceases to be a resident of the Town. The vacancy shall be filled by appointment or election at the discretion of the Town Council.

If Town Council chooses to fill the vacancy by appointment the following procedure shall be followed: Within fifteen (15) days after a vacancy occurs, the Town Clerk shall publish a notice inviting applications for the position. Within thirty (30) days after a vacancy occurs, and before conducting any other business, the remaining Councilpersons shall appoint a qualified person to fill the vacancy until the next regular or special election.

If a vacated seat is filled by election, and if the term of the vacated Council seat(s) would normally have extended for another year past the regular election, the candidate(s) elected shall be listed in order of the number of votes received, and the elected candidate(s) with the next highest number of votes after all other seats have been filled for which the terms of office have expired shall fill the vacated seats and shall serve for the duration of the unexpired term(s).
